Pauline Ngiam

Pauline Ngiam is a Partner at Zain & Co. in the Corporate practice, specializing in Mergers and Acquisitions. Her practice focuses on mergers and acquisitions, corporate restructuring, capital markets, statutory compliance, corporate governance, foreign investments, joint ventures, privatisation, corporatisation, private equity, and venture capital.

Pauline has advised on a number of significant transactions, including advising the Ali Reza Group on the landmark transfer of McDonald's subsidiaries in Malaysia; advising Chemical Company of Malaysia Berhad on a restructuring exercise involving a private placement, capital reduction, and disposals; acting for IJM Corporation Berhad on the rationalisation of its property division with a transaction value of approximately RM1.28 billion; advising Keppel DC REIT on its initial public offering and listing on the Singapore Exchange—the first data centre REIT to be listed in Asia; and advising Petronas Gas Berhad on a Shareholders' Agreement for the development of LNG regasification facilities at Pengerang, Johor, with a transaction value of approximately RM2.7 billion. She also advises on hospitality‑related transactions, data protection and privacy policies, including PDPA compliance audits and cross‑border data transfer issues.

Pauline holds an LL.B (Hons) from Bond University (2003), where she was a recipient of the Vice‑Chancellor's List award. She was called to the Malaysian Bar in 2005 and is an Advocate and Solicitor of the High Court of Malaya.

She has been recognised in Asialaw as a Notable Practitioner in Corporate and M&A (2020–2023) and in The Legal 500 Asia‑Pacific as a recommended individual in Corporate and M&A, and Capital Markets.
